Terms of Service

These Terms of Service (“Terms”) govern your access to and use of GrowthInvest TenderBridge, a product of Miking Elis Consult LLC (“TenderBridge,” “we,” “us”). By creating an account or otherwise using the platform, you agree to these Terms. If you're using TenderBridge on behalf of an organization, you're agreeing on that organization's behalf and confirming you have the authority to do so.

1. Description of Service

TenderBridge is a procurement and grant intelligence platform that helps businesses, NGOs, and consultancies discover, track, and prepare bids for government, multilateral, and donor tenders and grants across Africa, using AI-assisted matching, document extraction, and (for eligible plans) expert grant writing, technical writing, and business consulting services.

2. Eligibility and Account Registration

You must be at least 18 years old and able to form a binding contract to create an account.

You're responsible for maintaining the confidentiality of your login credentials and for all activity under your account. Notify us immediately if you suspect unauthorized access.

The information you provide during registration and onboarding must be accurate and kept up to date.

3. Subscriptions and Billing

New accounts start with a 7-day free trial on the Growth plan; no card is required to start the trial.

Paid plans (Growth, Scale) are billed on a recurring monthly basis. Nigerian customers are billed in Nigerian Naira (NGN) via Paystack; customers elsewhere are billed in US Dollars (USD) via Stripe.

Subscriptions renew automatically at the end of each billing period until cancelled. You can cancel at any time from Settings — cancellation stops future renewal, and you retain access for the remainder of the period you've already paid for.

We may change subscription pricing with reasonable advance notice; changes apply to your next billing cycle, not to a period already paid for.

4. Professional Services

Grant writing, technical writing, and business consultancy engagements are scoped, quoted, and confirmed separately from your platform subscription, with their own deliverables, timelines, and payment terms agreed at the time of engagement. These Terms govern your use of the platform itself; a professional services engagement may be subject to additional terms provided to you at that time.

5. Acceptable Use

You agree to use TenderBridge only for lawful purposes and in accordance with our Acceptable Use Policy, which is incorporated into these Terms by reference. Violations may result in suspension or termination of your account.

6. Your Content

You retain ownership of documents and content you upload or submit to TenderBridge (“Your Content”). By submitting Your Content, you grant us a limited license to store, process, and transmit it (including to our AI and service providers described in our Privacy Policy) solely to provide the service to you. You're solely responsible for ensuring you have the necessary rights to any content you upload.

7. AI-Generated Content and Outputs

TenderBridge uses AI to generate match scores, extract structured data from documents and websites, draft proposal content, and provide chat assistance. AI outputs may be incomplete, inaccurate, or unsuitable for your specific circumstances. You are solely responsible for reviewing, verifying, and editing any AI-generated content before relying on it or submitting it to a buyer, funder, or third party. 8. No Guarantee of Outcomes

TenderBridge provides information, matching, and drafting assistance in good faith, but we do not guarantee that you will win any tender, be awarded any grant or contract, or achieve any particular funding outcome. Match scores are advisory estimates, not predictions or assurances. Decisions to bid, apply, or submit are yours alone.

9. Third-Party Content and Services

TenderBridge aggregates and links to tender and grant information published by third parties (government agencies, multilateral institutions, donors, and foundations). We do not control and are not responsible for the accuracy, completeness, or availability of third-party content, or for the terms, policies, or conduct of Paystack, Stripe, or any other third-party service integrated with the platform.

10. Intellectual Property

TenderBridge's software, design, branding, and platform content (excluding Your Content and third-party tender/grant listings) are owned by us or our licensors and protected by intellectual property law. You may not copy, modify, reverse-engineer, or create derivative works from the platform except as expressly permitted by these Terms.

11. Termination

You may stop using TenderBridge and cancel your subscription at any time. We may suspend or terminate your account if you violate these Terms or our Acceptable Use Policy, or if required by law. On termination, your right to access the platform ends; provisions that by their nature should survive termination (including Sections 7, 8, 12, and 13) will continue to apply.

12. Disclaimer of Warranties

TenderBridge is provided “as is” and “as available,” without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the service will be uninterrupted, error-free, or completely secure.

13. Limitation of Liability

To the maximum extent permitted by law, TenderBridge and its officers, employees, and service providers will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or business opportunity, arising from your use of the platform. Our total liability for any claim arising from these Terms or your use of TenderBridge will not exceed the amount you paid us in the 12 months preceding the claim.

14. Indemnification

You agree to indemnify and hold TenderBridge harmless from any claims, damages, or expenses (including reasonable legal fees) arising from your violation of these Terms, your use of the platform, or Your Content.

15. Governing Law and Disputes

These Terms are governed by the laws of the State of California, United States, without regard to conflict-of-law principles. Any dispute arising from these Terms or your use of TenderBridge will be resolved in the state or federal courts located in California, and you consent to the personal jurisdiction of those courts.

16. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we'll update the “Last updated” date above and, where appropriate, notify you directly. Continued use of TenderBridge after changes take effect constitutes acceptance of the revised Terms.

17. Severability and Entire Agreement

If any provision of these Terms is found unenforceable, the remaining provisions will continue in full effect. These Terms, together with our Privacy Policy, Acceptable Use Policy, Refund Policy, and AI Usage Disclosure, constitute the entire agreement between you and TenderBridge regarding the platform.
